Item 2 - Educational Background and Business Experience
Mr. Colby is the Chief Financial Officer and Chief Compliance Officer at CM Wealth Advisors LLC
(“CMWA”). He is also a member of CMWA as well as a member of the Managing Board. He joined
CMWA in 2014.
Mr. Colby was born in 1968 and earned his BBA in Finance from The University of Akron and an MS in
Accounting from Kent State University. Prior to joining CMWA, Mr. Colby was the Controller at Walnut
Ridge Strategic Management Co, LLC for five years. He also was employed at Cohen & Company for
fifteen years and a Principal at the time of his departure.
Mr. Colby is a Certified Public Accountant (CPA). CPAs are licensed and regulated by their state boards
of accountancy. While state laws vary, the education, testing and experience requirements at the time of
his licensing included a bachelor’s degree, minimum experience levels, and successful passage of the
Uniform CPA Examination. To maintain the CPA license, states generally require the completion of 40
hours of continuing professional education (CPE) per year or 120 hours over a three-year period.
Additionally, Mr. Colby is a member of the American Institute of Certified Public Accountants (AICPA)
and is required to follow a Code of Professional Conduct. He is also a member of the Ohio Society of
Certified Public Accountants (OSCPA).
Mr. Colby maintains a Certified Exit Planning Adviser (CEPA) credential. A CEPA has advanced exit
planning expertise and depth of financial knowledge to help through the process of transitioning out of a
business. They are financial advisors, accounting, banking or legal professionals who have undergone a
five-day course and passed an exam. The CEPA is administered by the Exit Planning Institute.

Item 2 - Educational Background and Business Experience
Mr. Kohl is a Member of CM Wealth Advisors LLC (“CMWA”). He joined CM Wealth Advisors in
2002. Although he retired from his position as a Vice President of CM Wealth Advisors Inc. in 2009, Mr.
Kohl continued to work with the Company as a Senior Consultant, and, as of January 1, 2019, Mr. Kohl
became a Member. In addition, he is a member of CMWA’s Investment Committee.
Mr. Kohl was born in 1939 and earned a BS degree from Pennsylvania State University, where he
majored in finance and economics. He attended Cleveland-Marshall Law School, graduating with a JD
degree, and was admitted to the Ohio Bar in 1967. Prior to joining CMWA, Mr. Kohl was Executive
Vice President of KeyCorp and a Managing Director of Key Principal Partners. During his seven years
with KeyCorp, he had executive management oversight for its Capital Markets and Investment Banking
Groups, as well as its private equity investment program. Previously, Mr. Kohl spent more than 23 years
in senior management positions at McDonald & Company Securities, Inc., a Cleveland-based investment
banking firm.

Ms. Lorius is a Senior Client Service Director and Member at CM Wealth Advisors LLC (“CMWA”).
She joined CMWA in 2020.
Ms. Lorius was born in 1970 and earned her BS in Marketing after receiving her Associate’s degree in the
Arts from The University of Akron. Prior to joining CMWA, Ms. Lorius was at Key Private Bank as a
Senior Vice President Regional Director of Trust for ten years. She also served as a Trust Advisor at PNC
Bank Private Client Group for eleven years.
Ms. Lorius is a Certified Financial Planner (“CFP”)™.
The CERTIFIED FINANCIAL PLANNER™, CFP® and federally registered CFP (with flame design)
marks (collectively, the “CFP® marks”) are professional certification marks granted in the United States
by the Certified Financial Planner Board of Standards, Inc. (“CFP Board”).
The CFP® certification is a voluntary certification; no federal or state law or regulation requires financial
planners to hold CFP® certification. It is recognized in the United States and a number of other countries
for its (1) high standard of professional education; (2) stringent code of conduct and standards of practice;
and (3) ethical requirements that govern professional engagements with clients. Currently, more than
62,000 individuals have obtained CFP® certification in the United States.
To attain the right to use the CFP® marks, an individual must satisfactorily fulfill the following
requirements:
Education – Complete an advanced college-level course of study addressing the financial
planning subject areas that CFP Board’s studies have determined as necessary for the competent
and professional delivery of financial planning services, and attain a bachelor’s degree from a
regionally accredited United States college or university (or its equivalent from a foreign
university). CFP Board’s financial planning subject areas include insurance planning and risk

management, employee benefits planning, investment planning, income tax planning, retirement
planning, and estate planning.
Examination – Pass the comprehensive CFP® Certification Examination. The examination,
administered in 10 hours over a two-day period, includes case studies and client scenarios
designed to test one’s ability to correctly diagnose financial planning issues and apply one’s
knowledge of financial planning to real world circumstances.
Experience – Complete at least three years of full-time financial planning-related experience (or
the equivalent, measured as 2,000 hours per year).
Ethics – Agree to be bound by CFP Board’s Standards of Professional Conduct, a set of
documents outlining the ethical and practice standards for CFP® professionals.
Individuals who become certified must complete the following ongoing education and ethics requirements
in order to maintain the right to continue to use the CFP® marks:
Continuing Education – Complete 30 hours of continuing education hours every two years,
including two hours on the Code of Ethics and other parts of the Standards of Professional
Conduct, to maintain competence and keep up with developments in the financial planning field;
and
Ethics – Renew an agreement to be bound by the Standards of Professional Conduct. The
Standards prominently require that CFP® professionals provide financial planning services at a
fiduciary standard of care. This means CFP® professionals must provide financial planning
services in the best interests of their clients.
CFP® professionals who fail to comply with the above standards and requirements may be subject to CFP
Board’s enforcement process, which could result in suspension or permanent revocation of their CFP®
certification.
CFP Acknowledgment: Ms. Lorius acknowledges her responsibility as a CFP® professional to adhere to
the standards that have been established in the CFP Board’s Standards of Professional Conduct.

Mr. McCreery was born in 1952 and earned a BS degree from Case Western Reserve University where he

practicing attorney at various firms including Spieth, Bell, McCurdy and Newell, L.P.A., where he was a

Sanders and Dempsey, as an Associate Attorney. As an attorney, Mr. McCreery is required to follow a

Ms. Resch was born in 1957 and earned her BA from the University of Vermont in 1979 and her MBA

CMWA, Ms. Resch spent over 20 years in various positions within Victory Capital Management and the
wealth management group of KeyCorp. From 2004 until joining CMWA, Ms. Resch managed Victory

Mr. Smorag is the Chief Operating Officer and Secretary of CM Wealth Advisors LLC (“CMWA”). He is
also a Member of CMWA, as well as a member of the Managing Board and its Investment Committee.
He joined CM Wealth Advisors in 1998.
Mr. Smorag was born in 1958 and earned a BBA from Kent State University in 1979 and his MBA from
Cleveland State University in 1988. Prior to joining CMWA, Mr. Smorag was the President of Zion,
Smorag and Associates, Inc., a local CPA firm (1990-1998).
Mr. Smorag has been a Certified Public Accountant (CPA) since 1982. CPAs are licensed and regulated
by their state boards of accountancy. While state laws vary, the education, testing and experience
requirements at the time of his licensing included a bachelor’s degree, minimum experience levels, and
successful passage of the Uniform CPA Examination. To maintain the CPA license, states generally
require the completion of 40 hours of continuing professional education (CPE) per year or 120 hours over
a three-year period. Additionally, Mr. Smorag is a member of the American Institute of Certified Public
Accountants (AICPA) and is required to follow a Code of Professional Conduct.
Mr. Smorag maintains the Personal Financial Specialist (PFS) credential. The PFS credential
demonstrates that an individual has met the minimum education, experience and testing required of a
CPA, in addition to a minimum level of expertise in personal financial planning. The PFS credential is
administered by the American Institute of Certified Public Accountants.
Mr. Smorag holds a Series 65 securities license, which requires passing a qualifying exam administered
by the Financial Industry Regulatory Authority (FINRA). The Series 65 license qualifies the holder to be
an investment advisor representative to a FINRA registered firm.

Mr. Wallace is a Member and the Director of Investments at CM Wealth Advisors LLC (“CMWA”).

Mr. Wallace was born in 1989 and earned his BS in Business with an Accounting concentration from
Kent State University in 2011. Prior to joining CMWA, Mr. Wallace was an Investment Analyst at RMS
Investment Group LLC for approximately six years. He also served as a Senior Accountant/Accounting
Professional Management Trainee at DDR Corp for approximately two years.

Mr. Wallace is also a Chartered Financial Analyst (CFA). The Chartered Financial Analyst (CFA)
charter is a globally respected, graduate-level investment credential established in 1962 and awarded by
the CFA Institute — the largest global association of investment professionals.
There are currently more than 90,000 CFA charterholders working in 134 countries. To earn the CFA
charter, candidates must: 1) pass three sequential, six-hour examinations; 2) have at least four years of
qualified professional investment experience; 3) join CFA Institute as members; and 4) commit to abide
by, and annually reaffirm, their adherence to the CFA Institute Code of Ethics and Standards of
Professional Conduct.

High Ethical Standards
The CFA Institute Code of Ethics and Standards of Professional Conduct, enforced through an active
professional conduct program, require CFA charterholders to:
Place their clients’ interests ahead of their own
Maintain independence and objectivity
Act with integrity
Maintain and improve their professional competence
Disclose conflicts of interest and legal matters
Passing the three CFA exams is a difficult feat that requires extensive study (successful candidates report
spending an average of 300 hours of study per level). Earning the CFA charter demonstrates mastery of
many of the advanced skills needed for investment analysis and decision making in today’s quickly
evolving global financial industry. As a result, employers and clients are increasingly seeking CFA
charterholders—often making the charter a prerequisite for employment. Additionally, regulatory bodies
in 22 countries and territories recognize the CFA charter as a proxy for meeting certain licensing
requirements, and more than 125 colleges and universities around the world have incorporated a majority
of the CFA Program curriculum into their own finance courses.
The CFA Program curriculum provides a comprehensive framework of knowledge for investment
decision making and is firmly grounded in the knowledge and skills used every day in the investment
profession. The three levels of the CFA Program test a proficiency with a wide range of fundamental and
advanced investment topics, including ethical and professional standards, fixed-income and equity
analysis, alternative and derivative investments, economics, financial reporting standards, portfolio
management, and wealth planning.
The CFA Program curriculum is updated every year by experts from around the world to ensure that
candidates learn the most relevant and practical new tools, ideas, and investment and wealth management

Item 2 - Educational Background and Business Experience
Ms. Werklund is the Chief Client Officer and Director of Human Resources at CM Wealth Advisors LLC
(“CMWA”). She is also a Member of CMWA as well as a member of the Managing Board. She joined
CMWA in 2014.
Ms. Werklund was born in 1974 and earned her BS in Business Administration from Baldwin Wallace
College and her MBA from Case Western Reserve University with a focus on Finance and Management.
Prior to joining CMWA, Ms. Werklund was a Relationship Manager at Hawthorn PNC Family Wealth for
15 years.
Ms. Werklund is a Certified Financial Planner (“CFP”)™.
The CERTIFIED FINANCIAL PLANNER™, CFP® and federally registered CFP (with flame design)
marks (collectively, the “CFP® marks”) are professional certification marks granted in the United States
by Certified Financial Planner Board of Standards, Inc. (“CFP Board”).
The CFP® certification is a voluntary certification; no federal or state law or regulation requires financial
planners to hold CFP® certification. It is recognized in the United States and a number of other countries
for its (1) high standard of professional education; (2) stringent code of conduct and standards of practice;
and (3) ethical requirements that govern professional engagements with clients. Currently, more than
62,000 individuals have obtained CFP® certification in the United States.

To attain the right to use the CFP® marks, an individual must satisfactorily fulfill the following
requirements:
Education – Complete an advanced college-level course of study addressing the financial
planning subject areas that CFP Board’s studies have determined as necessary for the competent
and professional delivery of financial planning services, and attain a bachelor’s degree from a
regionally accredited United States college or university (or its equivalent from a foreign
university). CFP Board’s financial planning subject areas include insurance planning and risk
management, employee benefits planning, investment planning, income tax planning, retirement
planning, and estate planning.
Examination – Pass the comprehensive CFP® Certification Examination. The examination,
administered in 10 hours over a two-day period, includes case studies and client scenarios
designed to test one’s ability to correctly diagnose financial planning issues and apply one’s
knowledge of financial planning to real world circumstances.
Experience – Complete at least three years of full-time financial planning-related experience (or
the equivalent, measured as 2,000 hours per year); and
Ethics – Agree to be bound by CFP Board’s Standards of Professional Conduct, a set of
documents outlining the ethical and practice standards for CFP® professionals.
Individuals who become certified must complete the following ongoing education and ethics requirements
in order to maintain the right to continue to use the CFP® marks:
Continuing Education – Complete 30 hours of continuing education hours every two years,
including two hours on the Code of Ethics and other parts of the Standards of Professional
Conduct, to maintain competence and keep up with developments in the financial planning field;
and
Ethics – Renew an agreement to be bound by the Standards of Professional Conduct. The
Standards prominently require that CFP® professionals provide financial planning services at a
fiduciary standard of care. This means CFP® professionals must provide financial planning
services in the best interests of their clients.
CFP® professionals who fail to comply with the above standards and requirements may be subject to CFP
Board’s enforcement process, which could result in suspension or permanent revocation of their CFP®
certification.
CFP Acknowledgment: Ms. Werklund acknowledges her responsibility as a CFP® professional to adhere
to the standards that have been established in the CFP Board’s Standards of Professional Conduct.

Item 2 - Educational Background and Business Experience
Mr. Wert is a Member of CM Wealth Advisors LLC (“CMWA”). Although he retired from his position
as Chief Executive Officer of CMWA in 2021, Mr. Wert continued to work with the Company as a Senior
Client Adviser. He also is a member of CMWA’s Investment Committee. He joined CM Wealth
Advisors in 2000.
Mr. Wert was born in 1946 and earned his BA degree with high honors in Finance from Michigan State
University in 1971. He also attended Northwestern University Graduate School of Management from
1971 to 1975 (majoring in Finance) and completed the Stanford University Executive Program in 1982.
Prior to joining CMWA, Mr. Wert served in a variety of executive management positions at KeyCorp and
its predecessor, Society Corporation. At the time of his early retirement in 1996, he was Senior Executive
Vice President & Chief Investment Officer of KeyCorp. Mr. Wert also served as Chief Financial Officer
of Society Corporation and KeyCorp from 1990 to 1995.
